1. Acceptance of These Terms

These Terms of Use ("Terms") govern your access to and use of the website located at https://orion-ventures.com (the "Site"), operated by Orion Ventures, LLC, a limited liability company with offices in the Commonwealth of Virginia, United States, and in Kyiv, Ukraine ("Orion Ventures," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Site.

If you access the Site on behalf of an organization, agency, or other entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you and that entity.

2. Nature of the Site — Informational Only

The Site is an informational and business development resource. It describes Orion Ventures' capabilities in defense technology assessment, engineering analysis, test and evaluation data interpretation, and full life cycle cost analysis, including procurement, training, fielding, and sustainment costs.

Please note in particular:

2.1 No offer or solicitation.

Nothing on the Site constitutes an offer, bid, quotation, proposal, or commitment to provide services, nor an acceptance of any offer from you. No contract with Orion Ventures is formed by your use of the Site or by any submission you make through it.

2.2 No professional advice.

Content on the Site is general in nature. It does not constitute engineering, technical, procurement, acquisition, safety, legal, financial, investment, regulatory, or export compliance advice, and must not be relied upon as a substitute for a professional assessment addressed to your specific facts and requirements. Engineering conclusions and cost analyses depend on assumptions, threat conditions, configurations, and program constraints that cannot be captured on a public website.

2.3 No client relationship.

Submitting an inquiry through the Site does not create a consulting, advisory, professional, or contractual relationship with Orion Ventures. Such a relationship arises only upon execution of a written agreement signed by an authorized representative of Orion Ventures.

2.4 Statements about performance and testing.

Where the Site refers to test data, engineering analysis, or operational or combat experience obtained through our partners in Ukraine, such references are illustrative and describe past circumstances. Past performance, test results, and operational outcomes are specific to the systems, configurations, threat environments, and conditions under which they were observed and are not a prediction, warranty, or guarantee of results in any other setting.

3. Export Control, Sanctions, and Restricted Submissions

Orion Ventures performs export-controlled work in compliance with all applicable United States and international export control regulations. Your use of the Site is subject to the following conditions, which are material terms of this agreement.

3.1 Do not transmit controlled data.

You must not submit, upload, or transmit through the Site, including through its contact form, or by unencrypted email:

Technical data or defense articles subject to the International Traffic in Arms Regulations (ITAR, 22 C.F.R. Parts 120–130)
Technology, software, or commodities subject to the Export Administration Regulations (EAR, 15 C.F.R. Parts 730–774) that require authorization for export or release
Classified information of any government
Controlled Unclassified Information (CUI), including covered defense information
Information subject to a third party's proprietary restriction or confidentiality obligation that you are not authorized to disclose

The Site is a public, unclassified channel and is not an authorized means of transmission for such information. You are solely responsible for ensuring that any information you transmit is releasable.

3.2 Compliance representations.

By using the Site and by submitting any inquiry, you represent and warrant that:

You are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive United States sanctions or embargo
You are not identified on any restricted-party list maintained by the United States government, including the Specially Designated Nationals and Blocked Persons List, the Denied Persons List, the Entity List, the Unverified List, or the Debarred List, nor on any comparable list maintained by the European Union, the United Kingdom, or Ukraine
You are not acting on behalf of, or for the benefit of, any such person or entity
Your use of the Site and any information obtained through it will comply with all applicable export control, sanctions, and anti-corruption laws
You will not use any information obtained from the Site in connection with any prohibited end use, including nuclear, chemical, biological, or missile proliferation activity

3.3 Screening and refusal.

We may screen inquiries against restricted-party and sanctions lists and may decline to respond to, or to engage with, any party where doing so would be inconsistent with applicable law or our compliance obligations. We are not required to explain such a decision.

4. Confidentiality and Unsolicited Submissions

4.1 We work under NDA from first contact.

If your inquiry involves proprietary, sensitive, or competition-sensitive information, send only the minimum information required to initiate discussion. We will execute a non-disclosure agreement before substantive exchange.

4.2 Pre-NDA submissions are not confidential.

Any information you submit through the Site before a non-disclosure agreement is executed is not received in confidence and is not subject to NDA protection. We will handle it with reasonable care and use it only to respond to your inquiry, but no confidentiality obligation arises by operation of these Terms.

4.3 Unsolicited ideas.

We do not accept unsolicited ideas, concepts, designs, specifications, proposals, or inventions in confidence. If you submit such material anyway, you agree that:

It is submitted on a non-confidential and non-obligating basis
Orion Ventures assumes no obligation of confidentiality, non-use, review, response, compensation, attribution, or return
Orion Ventures may already be developing, or may independently develop, similar or identical concepts, and nothing in your submission restricts our ability to do so
You grant us a non-exclusive, royalty-free, worldwide licence to use the submission to the extent necessary to evaluate and respond to it

4.4 Do not send anything you cannot afford to have handled on this basis.

5. Intellectual Property

5.1 Ownership.

The Site and all content on it — including text, graphics, diagrams, logos, service marks, layout, design, methodology descriptions, analytical frameworks, compilations, and software — is owned by Orion Ventures or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

5.2 Limited licence.

We grant you a limited, revocable, non-exclusive, non-transferable licence to access the Site and to view, download, and print content for your own internal, non-commercial reference and evaluation purposes, provided you retain all copyright and proprietary notices. All other rights are reserved.

5.3 Restrictions.

Except as expressly permitted above, you must not:

Reproduce, republish, distribute, publicly display, or create derivative works from Site content
Use Site content in any proposal, bid, marketing material, publication, or presentation without our prior written consent
Use our name, logo, CAGE Code, or Unique Entity Identifier in a manner that suggests affiliation, sponsorship, or endorsement without our prior written consent
Remove, obscure, or alter any proprietary notice
Frame, mirror, or scrape the Site, or use any robot, spider, crawler, or automated means to access or extract content, except for standard search engine indexing
Use the Site to compile a database or to build a competing product or service
Use the Site or its content to train, fine-tune, or evaluate any machine learning or artificial intelligence model

5.4 Trademarks.

"Orion Ventures" and our logos are marks of Orion Ventures, LLC. Third-party marks appearing on the Site belong to their respective owners and are used for identification only.

6. No Government Endorsement or Affiliation

Orion Ventures' CAGE Code (7FQG4) and Unique Entity Identifier (N896J49MC616) are published for the administrative convenience of contracting and procurement personnel.

Their publication, and any reference on the Site to government agencies, programs, systems, standards, contract vehicles, or partners, does not constitute or imply endorsement, sponsorship, certification, recommendation, or approval of Orion Ventures or its services by the United States Department of Defense, any other United States government agency, the Government of Ukraine, or any other government or governmental body. Nor does it imply any affiliation with, or official position of, any such body.

Orion Ventures is an independent commercial entity and does not speak for any government.

7. Acceptable Use

You agree not to:

Use the Site for any unlawful purpose, or in violation of any applicable law or regulation
Attempt to gain unauthorized access to the Site, its servers, or any connected system or network
Probe, scan, or test the vulnerability of the Site or circumvent any authentication, security, or access control measure
Interfere with or disrupt the Site, including through denial-of-service activity, excessive request volume, or the introduction of malware, viruses, or malicious code
Impersonate any person or entity, or misrepresent your identity, organization, nationality, or authority
Transmit unsolicited commercial communications, spam, or bulk messaging through any Site facility
Harvest or collect email addresses, contact details, or other information about other users or our personnel
Submit false, misleading, or fraudulent information through the contact form, including a false identity, organization, or nationality
Use the contact form to transmit attachments, links, or payloads containing malicious code

We may investigate suspected violations, and may report conduct we reasonably believe to be unlawful to law enforcement or relevant authorities, together with the information necessary to do so.

8. Third-Party Links and Resources

The Site may link to third-party websites, including government procurement portals, standards bodies, partner sites, and reference sources. We provide these links for convenience only. We do not control, endorse, monitor, or assume responsibility for the content, accuracy, availability, security, or practices of any third-party site. Your use of any third-party site is at your own risk and subject to that site's own terms and policies.

9. Availability and Changes to the Site

We provide the Site on an "as available" basis. We do not guarantee uninterrupted or error-free availability, and we may modify, suspend, restrict, or discontinue the Site or any part of it, and may change, remove, or update its content, at any time and without notice or liability.

10. Disclaimer of Warranties

The Site and all content on it are provided "as is" and "as available," without warranty of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by applicable law, Orion Ventures disclaims all warranties, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment, and any warranty arising from course of dealing, usage, or trade practice.

Without limiting the foregoing, we do not warrant that:

Site content is accurate, complete, current, reliable, or free of error or omission
Any conclusion, cost figure, estimate, methodology description, or performance reference on the Site is applicable to your program, system, threat environment, or requirement
The Site will be available, uninterrupted, timely, or secure, or that defects will be corrected
The Site or its hosting infrastructure is free of viruses or other harmful components

Content on the Site may become outdated. We have no obligation to update it.

Some jurisdictions do not permit the exclusion of certain warranties. In such jurisdictions, the exclusions above apply to the maximum extent permitted by law.

11. Limitation of Liability

To the fullest extent permitted by applicable law:

11.1 Orion Ventures, its members, officers, employees, contractors, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, contracts, anticipated savings, goodwill, data, or programs, arising out of or relating to your access to or use of, or inability to use, the Site or any content on it, whether based in contract, tort (including negligence), strict liability, statute, or any other theory, and whether or not we were advised of the possibility of such damages.

11.2 Our total aggregate liability arising out of or relating to the Site and these Terms will not exceed one hundred United States dollars (US$100.00).

11.3 The limitations in this Section do not apply to liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence.

11.4 These limitations govern your use of the Site only. Liability arising under a separate written consulting agreement, government contract, or subcontract is governed by that agreement.

11.5 You acknowledge that the disclaimers and limitations in Sections 10 and 11 are a fundamental basis of the bargain, and that we would not provide the Site on a free, publicly accessible basis without them.

12. Indemnification

You agree to indemnify, defend, and hold harmless Orion Ventures and its members, officers, employees, contractors, agents, and licensors from and against any claim, demand, action, proceeding, loss, liability, damage, penalty, fine, cost, or expense (including reasonable legal fees) arising out of or relating to:

Your breach of these Terms, including the export control and sanctions representations in Section 3
Your submission of export-controlled, classified, restricted, or third-party proprietary information through the Site
Your misuse of the Site or of any content obtained from it
Your violation of any applicable law or of any right of a third party

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, at your expense. You will not settle any such matter without our prior written consent.

13. Governing Law and Dispute Resolution

13.1 Governing law.

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the Commonwealth of Virginia, United States, excluding its conflict of laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.

13.2 Venue.

You agree to the exclusive jurisdiction and venue of the state courts of the Commonwealth of Virginia and the United States federal courts sitting in the Commonwealth of Virginia, and you waive any objection based on lack of personal jurisdiction, improper venue, or inconvenient forum.

13.3 Waiver of jury trial and class actions.

To the extent permitted by applicable law, each party waives any right to a trial by jury and agrees that claims must be brought in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

13.4 Limitation period.

Any claim arising out of or relating to these Terms or the Site must be brought within one (1) year after the claim arose, or it is permanently barred, unless applicable law prohibits a shorter period than the statutory one.

13.5 Mandatory local law.

If you are a consumer resident in the European Economic Area, the United Kingdom, or another jurisdiction whose law grants you non-waivable rights, nothing in this Section deprives you of the protection of the mandatory provisions of the law of your place of residence.

14. Export of These Terms to Government Contracts

If you are a United States government entity, or a contractor acting on behalf of one, and any provision of these Terms is inconsistent with a mandatory statute, regulation, or clause applicable to you (including the Federal Acquisition Regulation or its supplements), that provision applies to you only to the extent permitted by applicable federal law. Nothing in these Terms is intended to waive any right or remedy of the United States government.

15. General Provisions

15.1 Entire agreement.

These Terms and the Privacy Policy constitute the entire agreement between you and Orion Ventures regarding the Site and supersede any prior understanding on that subject. They do not supersede or amend any separate written agreement between us.

15.2 Severability.

If any provision is held invalid, illegal, or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will remain in full force.

15.3 No waiver.

Our failure to enforce any provision is not a waiver of our right to do so later. A waiver is effective only if made in writing and signed by an authorized representative.

15.4 Assignment.

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign them without restriction, including in connection with a merger, acquisition, or sale of assets.

15.5 Survival.

Sections 3, 4, 5, 6, 10, 11, 12, 13, and 15 survive any termination of your use of the Site.

15.6 No third-party beneficiaries.

These Terms confer no rights on any person other than you and Orion Ventures.

15.7 Force majeure.

We are not liable for any failure or delay resulting from causes beyond our reasonable control, including armed conflict, hostilities, act of war, cyberattack, infrastructure or utility failure, natural disaster, epidemic, labor action, or governmental action.

15.8 Headings.

Headings are for convenience only and do not affect interpretation.

15.9 Language.

These Terms are executed in English. Any translation is provided for convenience only, and the English version controls in the event of any inconsistency.

16. Changes to These Terms

We may revise these Terms at any time by posting an updated version on the Site and changing the "Last Updated" date above. Changes take effect when posted. Your continued use of the Site after that constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
